Learning unit contents
This course intends:
- to propose a synthesis, at the end of the learning process ot the student specialized in Financlal Analysis & Audit, of the different techniques and tools used to realize a legal and financial business diagnosis
- to illustrate how professionals from the consulting and banking industry use these techniques and tools in their daily activity.
The 10 sessions that are scheduled are structured around the Life Cycle of the firm and deal successively with the following themes :
- the creation of the firm (legal aspects)
- the emerging phase (individual support to emerging firms)
- the growth phase (financing of the different steps of the growth)
- the transmission phase (transmission and take-over of an existing firm)
- the recovery or the exit phase (liquidation and recovery of the failing firm)
Due to the heavy schedule of speakers, the sessions cannot therefore take place in the logical order of the company's life cycle.
Learning outcomes of the learning unit
Strategy : The course will allow students to establish a strategy in order to optimize the value chain of a company, an organization or a project. Implementation : The course will allow students to take charge of the everyday management of a company, an organization or a project. Quality and Performance Control : The course will allow students to plan and implement the performance and quality control in a company, an organization or a project. Communication : The course will allow students to communicate efficiently, internally and externally, about a company, organization or project. Adaptability : The course will allow students to adapt their managerial practice to the needs of a fast-evolving world.
Prerequisite knowledge and skills
Advanced knowledge in corporate low, accounting, financial statement analysis, corporate finance, financing decisions, financial audit, corporate valuation and business strategy

Assessment methods and criteria
Below you will find information on the evaluation methods planned for in-person and remote exams as well as those planned for hybrid sessions. Depending on how the health crisis evolves, the chosen method will be communicated to you no later than one month before the start of the exam session.
Compulsory presence to each course
Any absence not justified by a medical certificate will be subject to a withdrawal of 1 point out of 20 on the final mark of this course. A departure halfway through the course session is considered an absence.
Relevant questions asked / relevant answers to a speaker will be subject to a bonus of 0.1 point out of 20 on the final mark of this course.
Inappropriate behaviour during the lectures of the speakers identified by the professor or her assistant will be sanctioned by the withdrawal of 0.25 point per remark on the final mark of this course.
Case study: 30% of the final grade
- to be carried out instead of the course of November 5, 2020
- to be posted on the lol@ platform no later than November 22, 2020 midnight.
- peer evaluation excel file to be completed and sent to the assistant by November 22, 2020 midnight, the grade obtained by the group will be weighted individually by this evaluation (student grade = group grade * total points obtained in the peer evaluation / maximum points awarded)
Exams: 70% of the final grade
- Written exam in the form of a group case study to be posted on the lol@ platform by December 13, 2020 midnight at the latest - the peer review excel file must be sent to the assistant by December 13, 2020 midnight, the grade obtained by the group will be weighted individually by this assessment (student grade = group grade * total points obtained in the peer assessment / maximum points attributable)
- Oral examination in the form of :
* presentation by the group of a professional-quality Powerpoint presentation on the practical case and an oral defense of it
* individual questions about the course content (in-depth study of the course is required to pass this exam)
Second Session :
Oral examination in the form :
- individual questions on the work delivered in the first session
- individual questions about the course content (in-depth study of the course is essential to pass this exam)

Most of the course is given in French.
