| In the course Drafting Notarial Acts, corporate law part, we will chiefly consider company documents: a company's constitution, the bodies and their powers of representation, the different forms of companies, the various amendments that may be made to its articles of association (capital, object, shares and bonds, etc.), placing in liquidation and operations involving merger, division, contribution of universality and branch of activity.
Second, we will examine, more briefly, the sale of the business being carried out as a legal person or as a natural person.
We will focus primarily on correct knowledge, understanding and use of the Commercial Code.
There will also be greater emphasis on the practical elements in this course. It is in fact very important to draft a company's documents correctly while ensuring that the legal rules are rigorously implemented. |
