Course contents :  
In the course Drafting Notarial Acts, corporate law part, we will chiefly consider company documents: a company's constitution, the bodies and their powers of representation, the different forms of companies, the various amendments that may be made to its articles of association (capital, object, shares and bonds, etc.), placing in liquidation and operations involving merger, division, contribution of universality and branch of activity.
Second, we will examine, more briefly, the sale of the business being carried out as a legal person or as a natural person.
We will focus primarily on correct knowledge, understanding and use of the Commercial Code.
There will also be greater emphasis on the practical elements in this course. It is in fact very important to draft a company's documents correctly while ensuring that the legal rules are rigorously implemented.
Learning outcomes of the course :  
The main objective of the course is to give students an opportunity to develop a thorough mastery of the various concepts of the subject while gaining an in-depth understanding of these.
A second objective is to allow students to assemble the file, perform the necessary investigations and draft the act concerned while understanding the different steps to take.
Prerequisites and co-requisites/ Recommended optional programme components :  
The course will be based on the normal knowledge that may be expected of someone who holds a Master's in Law.
Our primary focus: company law, commercial law and the applicable registration fees.
Planned learning activities and teaching methods :  
Several related deeds and documents will be used as examples in the course.
Mode of delivery (face-to-face ; distance-learning) :  
The course will primarily be given as oral presentations.
Recommended or required readings :  
Model instruments will be handed out to the students as will the documentation.
The company code and the registration fees code will be the main basis of the course.
Assessment methods and criteria :  
At the end of the year, for each section of the course, there will be a written examination consisting in drafting a deed or a part of a deed and an oral examination on the material covered in the course.
