Course contents :  This course introduces future managers to the fundamental principles of the law of obligations and contract law. The course starts with a summary of basic contracting principles (freedom of contract, party autonomy, freedom of form, binding character of contract, good faith, consumer protection, unfair contractual terms....). The course proceeds by analyzing the rules that deal with the negotiation, formation, performance of contracts, as well as the rules and recourses that apply in case of non-performance. Next, the course studies the contract scope of application. It then deals with the assignment of claims and contracts. Finally, the last part of the course covers the rules that govern guarantees and securities, both of which have important business consequences. Aimed at future managers, the course is supplemented by many business examples.
Course objective :  This course purports to introduce future managers to the fundamental rules of the law of obligations and contract law.

Written notes :  Syllabus but it is advised to attend lectures plus recitations for practical exercises.
Assessment :  Grading based on a written final exam.
