1. relevance of course

This course aims at giving a general training ro enable the students to understand and negotiate the most common international business contracts.

  • jurisdiction & arbitration
  • international sale agreements
  • international agency agreements
  • international distribution agreements
  • international licence & technology transfer agreements
  • electronic contracting
Learning outcomes of the course :  
A the end of this course, the students will be able to :

C1/P2 understand and use adequately the basic legal concepts

C4 analyse and give a critical opinion on international contracts in regards to their goals
Prerequisites and co-requisites/ Recommended optional programme components :  
  • good command of the English language
  • knowledge of essential legal concepts

1. Methods

A1 Lectures on fundamental international legal concepts

A2 Tutored study of international contracts

A4 Critical analysis of an international contract, writing and presentation of a group report.



2. General planning.

The work in the classroom is taking place during the first module. The evaluation, based on the group paper and its presentation, will take place at the end of the second module, according to the school organization.





3. student workload (Classroom + Home).

  • A1 Lecture on fundamental concepts (C=9 - H=9)
  • A2 Tutored study of contracts (C=12 + H=12)
  • A4 Research of contracts including their context (H=8)
  • Approval, advise (C=3 + H=3)
  • Studies, analysis, research, criticism and synthesis (H=32)
  • Writing of the report and preparation of the presentation (H=8)
  • (Credit: ECTS; estimate student workload = 96h including 24h in the classroom)
Recommended or required readings :  
The supports used in the courses are available one-line and contain the legal references and the recommended bibliography. The documents unavailable on-line (real contracts) are handed out in classroom
Assessment methods and criteria :  
E4 Presentation of group report on contract critical analysis (context, nature, contents...)

Evaluation of the critical analysis, the reasoning, of the relevance of supported remarks will be both collective and individual. Immediate feedback
