| Course contents : | This class aims to give students a general overview of the legal difficulties raised by cross-border commercial operations. In order to do so, the lectures will build further on the general introduction to private international law. Besides general questions of jurisdiction and applicable law, the lectures will also focus on the one hand on uniform law (with particular attention being devoted to the provisions of the 1980 Vienna Sales Convention) and on the other hand also, albeit not systematically, on issues of comparative law.
The main contracts used in international commerce will be studied, starting with the sales contract and the various contracts of distribution and going to the operations involving more than two parties (such as the leasing contract or the subcontracting agreement). Issues of dispute resolution will also be studied, together with legal aspects of financing international commercial operations. |
