Course contents :  The objective of the course is to deal with some specific issues in commercial law, that have a strong link with the day to day business practices. The first part of the course deals with some legal aspect of cooperation contratct (analyse of clauses,....). Then we will study the legal rules applicable to the most frequent commercial contracts, i.e. agency, concession, franchise,.. The second part of the course will be devoted to the study of some issues in Company law, that have link with the commercial cooperation between companies (temporary companies, joint ventures, share agreements,...). The third part of the course deals with some aspect of electronic commercial contracts. Finally, depending on the time allowed, legal aspects of mergers and acquisitions and takeover bids will be studied.
Course objective :  The objective of the course is to make the students aware of the legal rules applying to the most frequent commercial contracts and to the company law aspects of the cooperation between companies
Prerequisites :  Introduction to Private Law + General Commercial Law
